Buying & Selling Businesses / Companies

We have many years’ experience of both buying and selling businesses and companies and can advise on all the legal aspects thereof. We appreciate that we are here to achieve the goals that you set and not to run up unnecessary fees and expenditure. The aim of this practice is to give pragmatic advice with regard to commercial transactions to ensure that you are adequately protected whilst ensuring that the transaction proceeds in accordance with your instructions. It is important to select the right advisors when purchasing or selling a business or company to ensure that the return on your investment is protected.

Commercial Property / Landlord /Tenant

We deal with all aspects of commercial property work on a daily basis. If you are in business or this is your first venture and you wish to acquire or dispose of premises then we have the experience and expertise to help meet your needs. We offer specialist advice on both Freehold or Landlord and Tenant issues, including the purchase of both freehold and leasehold land for development or use as offices, factories, warehouses, shops, pubs and restaurants. If you are an individual seeking an investment opportunity or wish to invest through a pension fund then we can help you make the right choice to maximise your investment.

Commercial Contracts

It is essential for all businesses (small and large) to ensure that their Terms and Conditions of Trading adequately cover all eventualities. It is too late to find that your Terms and Conditions of Business or other contractual issues do not adequately protect you when something goes wrong. We have a long history of advising all sizes of business in this area.

Company Law

We have a wide experience of advising in all the areas of company law from Director’s duties, including advising in connection with proceedings brought for Disqualification of Directors, the formation and structure of companies, meetings and what happens when there is a dispute between Shareholders. With increasing degrees of regulation Company Directors have wide-ranging and important statutory responsibilities. Do not get caught out.

Directors Duties

Director’s disqualification and the responsibilities if a director of a Limited company are now becoming real issues. We have advised company directors in relation to companies of all size with regard to their rights, roles and responsibilities both generally and in specific areas. Do not get caught out by thinking that it will be ‘alright’ and that no action will be taken against the company directors. The Department of Trade and Industry have real Teeth and a telephone call to us may save a lot of anguish in the long run.

Insolvency

We advise companies, businesses and individuals as to the nature and effects of the current insolvency legislation. We have considerable experience in dealing with issues appertaining to setting aside transactions where they are made with a view to avoiding creditors and recovering of monies in connection therewith. This is an extremely complex area of the Law but due to the experience gained within the practice we feel that we are able to explain the same both clearly and concisely.

Employee Problems

We are able to advise on all matters appertaining to matters in relation to disputes with Employees. Following the introduction of the new Disciplinary Codes in October 2004 Employment Law has changed dramatically increasing the emphasis upon Employers to ensure that statutory procedures are followed correctly. Failure to follow procedures can now ‘double’ compensatory awards made to Employees who are unfairly dismissed. Contact us with us with your problems, we are here to advise and help you.

Option Agreements

Advising Clients in connection with dealings in connection with offers made to purchase land for development purposes including advising on the contents of Option agreements.

Alcohol & Entertainment Licensing

Following the introduction of the Licensing Act in November 2005, the law relating to licensed premises has changed dramatically. We have advised numerous establishments in connection with the ‘changeover’ procedure and obtaining temporary event licences for PTAs, clubs and social functions. Please contact us in connection herewith.
